Vanigator Terms and Conditions
1. Definitions
For the purposes of these Terms and Conditions, the following definitions shall apply:
"Service" refers to the Vanigator SaaS platform provided to users.
"User" refers to any individual or entity who creates an account or otherwise uses the Service.
"Tenant" refers to a single client or organization registered on Vanigator, along with their associated users.
"Billable Users" refers to users in 'active' or 'suspended' status with a 'Driver' or 'DSP Manager' role.
"Subscription Setup Date" refers to the date when the subscription is first created.
"Support Request" refers to any inquiry or issue raised by users to Vanigator via support@vanigator.com for assistance.
2. Billing and Payment
The subscription cost is determined by the number of billable users and is charged as follows:
£0.80 per user per week for 0-49 users
£0.70 per user per week for 50-74 users
£0.60 per user per week for 75-99 users
£0.50 per user per week for 100+ users
The number of billable users is calculated once daily. Each daily reading of an active user is considered 1 unit. A full week for a user equates to 7 units, billed at the rates stated above. This ensures customers are only billed for actual usage and do not pay more than necessary.
Payment is taken automatically via Stripe, our chosen payment gateway provider, on a weekly basis on the same day the subscription was set up.
To enable billing, a one-time setup fee of £50 is required to create a recurring payment token for weekly billing. This full amount is applied as account credit, which will automatically be used towards subscription payments on the billing date.
All billing is done in GBP (£), and charges are rounded down to the nearest second decimal place.
Any disputes regarding invoices must be raised within 3 calendar days from the invoice date. Disputes not raised within this period will be considered as accepted by the customer.
Any future price increases will be communicated no less than 28 days in advance and will not exceed the UK Retail Price Index (RPI).
3. User Responsibilities
Users are responsible for maintaining their own accounts, including the accuracy of all information related to drivers and overall tenant management, if their role permits.
Users must ensure the confidentiality and security of their login credentials. Vanigator shall not be held liable for any damages or losses resulting from the unauthorized use of an account caused by the negligence or failure of the user to safeguard login credentials.
Users are responsible for promptly informing Vanigator of any suspected unauthorized use of their accounts.
4. Service Availability and Uptime
Vanigator aims to maintain 99.9% uptime for its service but does not guarantee uninterrupted access or continuous operation.
Vanigator shall not be liable for any damages resulting from service interruptions, slowdowns, or outages, whether planned (e.g., maintenance) or unplanned.
Users will be notified in advance of any scheduled maintenance or downtime that could affect service availability, whenever possible.
5. Modifications to the Service
Vanigator reserves the right to modify, update, or discontinue any feature of the Service at its discretion.
Any modifications that materially affect the use of the Service will be communicated to users in a timely manner.
All existing features of the application are included within the cost of the subscription with no additional charges. However, if any future features incur additional charges due to third-party costs or development, they will only be available to customers on an opt-in basis, and no obligation will exist to subscribe to these features.
6. Account Management
Users can scale up or down the number of active users at any time.
Once a user is marked as 'Inactive,' this status cannot be changed by a manager or owner through the application. To reverse the inactive status, a support request must be raised with our team.
Support requests should be sent to support@vanigator.com. Requests will be acknowledged within 1 working day, and we will endeavor to resolve all issues as quickly as possible. If the issue requires significant development, we will provide regular updates.
7. Limitation of Liability
Vanigator shall not be held liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the service.
In no event shall Vanigator’s total liability exceed the amount you have paid to use the service in the past 12 months.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
